Just becasue I figured this was a good thing to cover on your question about the differences.
(Keep in mind all my BF2 comments come from a while ago and since BF2142 came out I have not played or kept up at all, no clue if any of the below has changed via patches)

BF2142 has 2 base Air Vehicles. A gunship and a Transport. These are very similar to the choppers in BF2. There is no equilient to the BF2 jets.
In BF2 the air defense is Fixed location SAM sites (Fires 2 seeking missles that do damage), a Specific AA vehicle that has a chain gun and SAMs, and ANY weapon in the game CAN do damage, however is typically so small it is irrelevent. You can get pistol kills on choppers given enough ammo or spectacular timing.
In BF2 Jets fly low over runways/carriers to reload and heal. Unless you kill a jet when you shoot it, the next time you see it most likly it is fully healed and you may as well have saved the ammo. The missles do decent damage but give a warning tone and can be out ran on afterburners.
Bf2142 the air defense is fixed location Gunsites that fire energy flak (direct fire) and seeking EMP missles, Walkers all have a gunner position has direct fire chaingun for defense as well as seeking EMP missles, Tanks have gunner positions that have HMGs cappable of damaging Air power, Engineers have Anti-vehicle weapons that work VERY well vs. Air vehicles, and most importantly the Engineer has the SAAW which is a Man portable AA seeking missle launcher that does damage. It fires 2 shots per clip and takes 2 to kill a Gunship and 3 to kill a Transport. Also the Titan has 2 chain guns that each have 180 degree arc of fire for Anit-Air... if they get high enough. Lastly if they fly low enough or attempt to land they are subseptable to Hover Mines (AKA "Rollers" or "Roller mines")
EMP missles do no damage but cut all power to the ship for a couple of seconds. My favorite kills are the ones where they don't have power to pull out of a dive and nose into a building or the ground. Usually all an EMP does is kind of hang them out to dry as a sitting target.
The BIGGEST 2 differences in 2142 are:
A: Both types of Air Vehicles have an Active Defense. Forcefields that protect it from missles. However (my understanding) these shields do not protect vs. HGM fire and I am not sure about the Direct fire from AA fixed sites and Walkers. They do NOT protect vs. EMP missles.
B: As both vehicles are more like the choppers in BF2 they are NOT fast movers. The Jets in BF2 are impossible to shoot down becasue of thier speed. (The choppers in BF2 are no where near as over powered because of this reason, they are at least able to be delt with.) 2142 Air power is easier to deal with do to thier lower speed. Engineers LOVE it when they hover. Decent pilots are actually easier to shoot down. Good pilots know better than to stand still like that. They also have to land to heal/rearm (I believe, but I am not a pilot so I could be wrong) so damage takes them out of the fight longer.
I am biased. I HATE the Jets in BF2. I loved the BF2 maps with no jets. While good pilots in BF2142 can and do make a difference they are not invunerable and we tend to not have lines of people waiting to whore the Air vehicles. Nothign was more frustrating than having 1/4 to 1/2 your team all standing around in the back base trying to steal the jets from one another instead of helping win the game.
As mentioned above I am no pilot. I know they can deal with each other in the air also but I can't talk about things I know nothing of.
I hope that gives you a small insite into a couple of the differences between the 2 games.

That's pretty much accurate. Although the fixed-location AA sites in BF2 seem to be much more effective against choppers than the fixed-site AA guns in 2142 are against gunships and transports... or I just suck with the AA guns in 2142.
Now the SAAW... that's my new-found joy.. I unlock it the second I have a field upgrade available (and will likely unlock it my next level up)
