Yes, you will need to format. As Wylie said, it may work... but driver conflicts are almost guaranteed.

Reformat. I have never seen any OS especially windows to be like.
Oh new motherboard....check....
new memory....check.....
new hard drive & graphics card....very nice....

another thing i was wondering was, i have 4 gb 800mhz and 4gb 667mhz is it possible to use all of them on the same mobo? it can handle 1066 (overclocked) and i plan to get it in a couple of wks but can i use that for now?

You don't need more than 4GB. I would use the 4GB of DDR2 800MHz and overclock it a bit. If you put in the 667, then all of your memory will be clocked at 667MHz. The stagecoach can only go as fast as the slowest horse.
